Terms of Service

The terms under which Visca, Inc. provides The Autonomy Cloud and related services. By accessing or using Visca, you agree to these terms.

1. Agreement and acceptance

These Terms of Service (the "Terms") form a binding agreement between you ("Customer," "you") and Visca, Inc. ("Visca," "we," "us"). By creating an account, accessing the Visca Cloud platform, or otherwise using any Visca service (the "Services"), you agree to these Terms and to any order form, service order, or written agreement that incorporates them. If you do not agree, do not access or use the Services.

2. The Services

The Services consist of Visca Cloud and the eight Visca products (Cast, Seal, Hearth, Praxis, Sigil, Warrant, Plexus, and Chronicle), together with all related documentation, SDKs, and supporting tools. The Services run on, and integrate with, the open Lattice Runtime substrate, which is separately licensed under the Mozilla Public License 2.0 and is not governed by these Terms.

3. Accounts

To access the Services you must register an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of credentials issued for your account and for all activity that occurs under it. You must notify security@visca.ai promptly of any unauthorized access.

4. Acceptable use

You will not, and will not permit others to:

  • Use the Services in violation of applicable law or third-party rights;
  • Reverse engineer, decompile, or attempt to discover the source code of any non-open Visca component;
  • Circumvent rate limits, capability scoping, identity attestation, or audit mechanisms;
  • Operate autonomous actors that target individuals for harassment, manipulation, surveillance without authority, or other prohibited conduct;
  • Use the Services to violate the security or integrity of third-party systems;
  • Use the Services to develop a competing autonomy-control plane that mirrors Visca's commercial features (this restriction does not apply to building on Lattice Runtime, which is open and permitted).

5. Open source components

The Services include, integrate with, or depend on Lattice Runtime, an open-source project licensed under MPL 2.0. Your use of Lattice Runtime is governed by its own license, not by these Terms. Nothing in these Terms restricts rights you have under MPL 2.0 with respect to Lattice Runtime.

6. Fees and billing

Paid plans are charged according to the order form or self-service plan you select. Fees are non-refundable except as required by law. Visca may adjust pricing with at least thirty (30) days' notice for the next billing period.

7. Customer data

"Customer Data" means data, including audit records emitted into your Chronicle, that you submit to or generate within the Services. You retain all rights in Customer Data. You grant Visca a limited license to process Customer Data solely to provide, support, and improve the Services consistent with our Privacy Policy.

8. Confidentiality

Each party will protect the other's Confidential Information with at least reasonable care and will not use it except to perform under these Terms.

9. Intellectual property

The Services are licensed, not sold. Visca retains all right, title, and interest in the Services and any feedback you provide. You retain all right, title, and interest in Customer Data.

10. Disclaimers

Except as expressly stated, the Services are provided "AS IS" and "AS AVAILABLE." Visca disclaims all implied warranties to the maximum extent permitted by law. Autonomous systems built using the Services act independently; you remain responsible for the policies, capability grants, and behaviors you configure.

11. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, consequential, special, or punitive damages. Each party's aggregate liability under these Terms will not exceed the fees paid to Visca in the twelve (12) months preceding the claim.

12. Indemnification

Each party will defend the other against third-party claims arising from its breach of these Terms or its acts or omissions, subject to commercially reasonable conditions.

13. Term and termination

These Terms remain in effect for as long as you use the Services. Either party may terminate for material uncured breach. Upon termination, your access ceases; we will make reasonable efforts to allow export of Customer Data for thirty (30) days.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Disputes will be resolved in the state and federal courts located in Delaware.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted to this page with a revised "Last updated" date and, for significant changes, communicated by email at least thirty (30) days before they take effect.
